If you are an Iranian citizen, or hold another passport on the restricted list of the Police and Border Guard Board (PPA), that route has been closed to most applicants since 1 October 2025. The company can still be founded on paper, in front of an Estonian notary.

If the company is for the Estonia startup visa, you can found it after you arrive: the D visa does not need an Estonian company, and only the temporary residence permit that follows it does.

e-Residency restrictions for Iranian and other citizens since 1 October 2025

PPA does not review e-Residency applications submitted after 1 October 2025 by citizens of ten Group I countries, which the law treats as a higher money-laundering risk: Afghanistan, Burkina Faso, the Democratic Republic of the Congo, Iran, Mali, Nigeria, North Korea, South Sudan, Syria and Yemen (Identity Documents Act § 20⁶(1¹)). An application is still reviewed if at least one of these applies to you:

you lived in the EEA, the UK or Switzerland for at least three consecutive years immediately before applying, on a valid residence permit;

you have permanent economic activity in Estonia;

you used an earlier e-resident card for its intended purpose;

you work for an Estonian embassy or honorary consul, or as an export adviser for Enterprise Estonia.

The economic-activity exception needs an existing, active Estonian company that has revenue or staff and pays taxes in Estonia, so it cannot help you found your first company. Russian and Belarusian citizens (Group II) need both an earlier e-resident ID and that activity. Cards already issued stay valid until they expire, and a dismissed application does not get its €150 fee back.

If you will not live in Estonia, the startup route cannot replace e-Residency: the D visa and the residence permit are for living there while you build the company, and they may be cancelled if you are not there doing it.

Company registration through an Estonian notary

Online founding through the e-Business Register portal works only when every founder and board member can sign digitally with an Estonian ID card (the e-resident card included), Smart-ID or Mobile-ID. Otherwise you use a notary, which the Chamber of Notaries suggests when a foreign national is involved.

The notary drafts a foundation resolution for a single founder, or a memorandum of association for several, with the articles of association, and files them with the Commercial Register, which PPA’s English pages call the Estonian Business Register. The company name must start or end with “OÜ” or “Osaühing”. Foreign founders and board members are entered with the personal identification code their own country issued, and the beneficial owners are declared at founding.

The deed is read out in the notary’s presence and signed by hand. Without an Estonian digital ID, you therefore sign at a notary’s office in Estonia, or a representative signs for you with a power of attorney certified by a notary, which the law allows. If you do not speak the language of the deed, normally Estonian, it must be interpreted or translated, or the authentication is void.

The notary also checks the parties, the purpose, the source of the funds and the sanctions database, and may postpone or refuse the deed if documents are missing. Before you book, ask the notary which form of power of attorney, which ID and what evidence of funds they want, and whether they can prepare the deed in English.

Video signing and Estonian embassies

Remote notarisation by video needs an Estonian digital signing tool, and each notary decides case by case. In a hybrid deed, a co-founder who holds one can join by video, if the notary agrees, while you sign at the office.

The Estonian embassies in Ankara and Abu Dhabi cannot replace the notary: the officers listed there can only certify signatures, copies, extracts, printouts and translations, not perform the full notarial authentication a founding deed needs. Remote notarisation from inside a mission still needs an Estonian e-ID.

Company registration cost in 2026 and share capital

You pay two things: the state fee for the register entry and the notary’s fees. The state fee is €200 (State Fees Act § 62(2)). The €265 expedited rate requires, among other conditions, that the founders and board members sign every entry document digitally themselves (Commercial Register Act § 42(3)), so a deed signed by hand pays €200.

Item

Amount or time

Legal basis

State fee, founding through a notary

€200

State Fees Act § 62(2)

State fee, expedited and digitally signed (the portal route)

€265

State Fees Act § 62(2); Commercial Register Act § 42(3)

Notary fee for the founding deed

Set by the Notary Fees Act table from the planned share capital, counted as at least €127: €6 for capital up to €128; €21 for capital above €1,917 and up to €2,556. Shares must be paid in full before the registration petition is filed, into an account in the name of the company being formed at an EEA credit or payment institution. The founders may authorise the notary to open it, and if the share capital is above €50,000, you also need a notice of payment from that institution.

Legal address, contact person and bank account

If the company’s address is abroad, you must name a contact person in Estonia; the test is the company’s address, not where the board lives. Only a notary, an advocate or the owner of a law firm, a sworn auditor or audit firm, a non-resident’s tax representative, or a trust and company service provider qualifies.

Their address counts as the company’s, and their details leave the register when their registered term ends. They receive official mail but cannot act for the company. Without one, the registrar may fine or delete the company, so plan the renewal of their term in advance.

Your company does not have to bank in Estonia or use an Estonian IBAN. Banks decide case by case, and an Estonian bank will most likely want a visit to its office in Estonia. If you are resident in a country on the FATF list of high-risk and other monitored jurisdictions, the e-Residency guidance says you will most likely struggle to get any business banking, even with an Estonian company. Several providers also restrict citizens of sanctioned or higher-risk countries. Iran is on the EU list of high-risk third countries.

EU rules on transfers linked to Iran

If you will move share capital or living money from Iran, you are dealing with EU sanctions rules, in force again since 30 September 2025 (Council Regulation (EU) 2025/1975). They define an “Iranian person, entity or body” by residence and control, not passport: the Iranian state, anyone in or resident in Iran, legal persons with a registered office in Iran, and any entity anywhere that one of these owns or controls.

Transfers to or from such a person that do not go through Iranian banks or exchange offices need nothing below €10,000, prior written notification from €10,000 and prior authorisation from €40,000. Food, health, medical, agricultural and humanitarian payments need notification only. Transfers between EU banks or other financial institutions and Iranian banks or exchange offices are prohibited unless they fall in one of the categories the rules allow, such as personal remittances. Linked transfers count together.

For electronic transfers, the payment service provider files the notification or the request for authorisation. In Estonia, the Financial Intelligence Unit decides on requests for an exemption permit within 30 days of receiving them, so if your transfer needs authorisation, allow for that period from the start.

D visa, company, then the residence permit

On the startup route, the order is the Startup Committee, the D visa, company registration in Estonia, then the temporary residence permit (TRP). The D visa does not need an Estonian company, but PPA requires the company to be in the Commercial Register before you apply for the TRP, so the notary appointment falls between the D visa and the TRP. If your country has no Estonian visa office, see applying for an Estonian D visa without an Estonian embassy.

Once you hold the TRP, you can sign digitally with its residence permit card, which the Chamber of Notaries lists as a signing tool, but by then the company must already exist. For later stages, see Estonian permanent residence and citizenship.

Aval Visa works with founders on the steps around registration: checking your company against the Startup Committee’s criteria, planning the order of legalisation and translation for your documents, and preparing the residence permit file once the company is registered. You file your own applications, and each decision rests with the body concerned: the Startup Committee, the embassy, the notary, the registrar or PPA. To go through your plan, start your assessment.

Common questions

Can I register a company in Estonia without e-Residency?

Yes. You sign the founding deed by hand at a notary’s office in Estonia, or the law lets a representative sign for you with a power of attorney certified by a notary. Ask the Estonian notary in advance which form of power of attorney they accept.

How much does it cost to register a company in Estonia in 2026?

Through a notary, you pay a €200 state fee plus the notary’s fees: the fee for the founding deed depends on the share capital and the number of founders, the other notary fees are fixed, and VAT is added. Founding online with Estonian digital signatures costs €265 in state fee.

Can Iranian citizens get e-Residency?

Applications submitted after 1 October 2025 are not reviewed unless an exception applies, such as three consecutive years’ residence in the EEA, the UK or Switzerland on a valid permit. Cards already issued stay valid until they expire.

Do I need an Estonian company before applying for the D visa?

No. You need an Estonian company only for the temporary residence permit. If your company is already registered in your home country, the Startup Committee’s form asks for those registration details.

Sources

<a
